These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NearbyOffers ("Company," "we," "us," or "our") governing your use of the NearbyOffers mobile application and related services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To use NearbyOffers, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. User Accounts

3.1 Account Creation

To access certain features, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized account access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through the app settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of Service

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

4.2 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or upgrades
• Factors beyond our control

4.3 Location Services

NearbyOffers requires location access to function properly. By using the Service, you consent to the collection and use of your location data as described in our Privacy Policy.

5. Offers & Redemptions

5.1 Offer Information

Offers displayed in the app are provided by participating shops and businesses. While we strive to ensure accuracy, we do not guarantee that:

• All offer information is accurate or up-to-date
• Offers will be available at the time of redemption
• Shops will honor all displayed offers

5.2 Redemption

Offer redemption is subject to:

• The terms and conditions set by each participating shop
• Offer validity periods and availability
• Any quantity limits or restrictions specified

5.3 Disputes

Any disputes regarding offer redemption should be resolved directly with the participating shop. NearbyOffers is not responsible for disputes between users and shops.

6. Shop Owner Terms

If you register as a shop owner, the following additional terms apply:

6.1 Accurate Information

You must provide accurate business information and ensure all posted offers are genuine and can be honored.

6.2 Offer Compliance

You agree to:

• Honor all offers displayed through the app
• Comply with all applicable laws and regulations
• Not post misleading or deceptive offers
• Respond to customer inquiries in a timely manner

6.3 Fees and Payments

Shop owner accounts may be subject to fees as described in our separate Shop Owner Agreement. Free tier limitations apply as specified.

7. Prohibited Activities

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Create fake accounts or provide false information
• Post fraudulent offers or misleading content
• Harass, abuse, or harm other users or shop owners
• Scrape, copy, or collect data from the Service without permission
• Use automated bots or scripts to access the Service
• Reverse engineer or attempt to extract source code
• Use the Service to spam or send unsolicited communications
• Violate any applicable laws or regulations

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, content, and trademarks, is owned by NearbyOffers and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

8.2 User Content

You retain ownership of content you submit (reviews, feedback, etc.). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without any obligation to compensate you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Non-infringement of third-party rights
• Uninterrupted or error-free operation

We do not endorse or guarantee any offers, products, or services provided by third-party shops.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NearbyOffers shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the past 12 months (if any)
• We are not liable for any actions or omissions of third-party shops

11. Indemnification

You agree to indemnify and hold harmless NearbyOffers and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit or post

12. Termination

12.1 By You

You may stop using the Service and delete your account at any time.

12.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Extended periods of inactivity
• Discontinuation of the Service

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (disclaimers, liability limitations, etc.) will continue to apply.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the dispute amicably
2. Arbitration: If informal resolution fails, disputes will be settled through binding arbitration in Bangalore, India
3. Jurisdiction: Courts in Bangalore, India shall have exclusive jurisdiction for any matters not subject to arbitration

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• We will notify you through the app for material changes
• Continued use after changes constitutes acceptance
